Terms of Service

Effective date: 1 January 2026 · Governs use of mediaholic.com.np and any services we deliver.

These Terms of Service ("Terms") govern your use of mediaholic.com.np ("the Site") and any engineering, design, marketing or hosting services delivered by Mediaholic Nepal Pvt. Ltd., a private limited company registered in Nepal (PAN/VAT on request) with its registered office at Narayan Bhawan Galli - 05, Jawalakhel, Kathmandu, Nepal ("we", "us", "Mediaholic").

By visiting the Site, submitting a brief, signing a Statement of Work (SoW), or paying an invoice, you agree to these Terms. If you don't agree, please don't use the Site or engage us.

1. Services

We deliver:

  • Website & web-application development
  • Mobile application development (iOS, Android, cross-platform)
  • Custom software & SaaS platforms
  • AI automation, LLM agents, RAG pipelines and adjacent integrations
  • Digital marketing, SEO and content
  • Managed hosting, DevOps, monitoring and on-call

Specific deliverables, milestones, fees and timelines are defined in a separate Statement of Work (SoW) or proposal accepted by both parties. The SoW takes precedence over these Terms for project-specific matters.

2. Engagement models

  • Fixed-scope: a defined deliverable for a fixed price, paid in milestones (typically 50% on signature, balance on delivery).
  • Monthly retainer: a dedicated team for a recurring monthly fee. Either party may terminate at the end of any calendar month with 14 days' written notice.
  • Sprint pack: a two-week paid sprint with a tightly scoped deliverable, used to validate fit before a longer commitment.

3. Fees, invoicing & payment

  • Fees are quoted in USD (international clients) or NPR (Nepali clients) and exclude applicable VAT/GST unless stated.
  • Standard payment term: net 14 days from invoice date.
  • Bank transfer, Stripe (USD), eSewa or Khalti (NPR) accepted.
  • Late payments accrue interest at 1.5% per month or the maximum permitted by law, whichever is lower.
  • Out-of-pocket expenses (3rd-party licences, paid plugins, cloud usage) are passed through at cost.

4. Intellectual property

  • Upon receipt of full payment for the relevant work, all custom code, designs, copy and assets produced under the SoW are transferred to you. The IP is yours.
  • We retain ownership of pre-existing tools, libraries, internal scaffolding and generic know-how. You receive a perpetual, royalty-free licence to use these as part of the delivered work.
  • Open-source components remain governed by their own licences (MIT, Apache 2.0, etc.).
  • We may reference the engagement in case studies and our portfolio after launch unless an NDA expressly prohibits it.

5. Client responsibilities

To ship on time we need:

  • Timely access to content, brand assets, credentials and 3rd-party accounts
  • A named decision-maker who can sign off scope and review demos
  • Response to blocking questions within 2 business days

Delays caused by missing inputs may shift milestones. We'll always flag this in writing before any rescheduling.

6. Changes & out-of-scope work

Anything materially outside the agreed SoW is handled via a Change Request — a brief written addendum capturing the change, impact on timeline, and incremental fee. We never invoice surprise out-of-scope work.

7. Confidentiality & NDA

We treat all client information — product roadmaps, code, credentials, financials — as confidential by default. A mutual NDA is signed before kick-off on request. Confidentiality obligations survive termination by 3 years (or longer if required by law).

8. Data & privacy

Your customer data lives in your infrastructure (or infrastructure you appoint us to manage). We don't sell, share or use it for any purpose outside the engagement. See our Privacy Policy for visitor data on the Site.

9. Warranties & bug fixes

  • Custom code carries a 30-day warranty from production launch: bugs introduced by us are fixed free of charge.
  • Outside the warranty window, fixes are billed at our hourly rate or absorbed by an active retainer.
  • Issues caused by client changes, 3rd-party outages or environmental changes are not covered by warranty.

10. Limitation of liability

To the maximum extent allowed by law, Mediaholic's aggregate liability under any SoW is capped at the fees paid for that SoW in the prior six months. We are not liable for indirect, consequential or revenue-loss damages.

11. Termination

Either party may terminate a SoW for material breach unremedied for 14 days after written notice. On termination you pay for work delivered up to the termination date. We hand over all materials, code and credentials within 7 days.

12. Governing law & disputes

These Terms are governed by the laws of the Federal Democratic Republic of Nepal. Any dispute is first taken to good-faith mediation. If unresolved within 30 days, the courts of Kathmandu, Nepal have exclusive jurisdiction — unless the SoW specifies an alternative arbitration venue.

13. Updates to these Terms

We may update these Terms. Material changes will be posted to this page with a new effective date; we'll also notify active clients by email. Continued use of the Site after the effective date constitutes acceptance.
